Nevada Cannabis Licenses for Sale: Dispensary, Cultivation, Production, Distribution & Consumption Lounge Auction

Opportunity to bid on four independent Nevada cannabis asset bundles through a court-supervised receivership sale. The portfolio comprises eight licenses across three entities, including two retail dispensary licenses, a provisional consumption lounge license, cultivation and production licenses at two locations, and a distribution license. The bundles are located in Las Vegas, North Las Vegas, and Pahrump.

Bidders may pursue one bundle or all four, and each bundle may be awarded to a different successful bidder. Three bundles have no stated minimum license bid. The Las Vegas retail and lounge bundle has a $5,000,000 court-approved minimum. Real estate at each location is available as a separate, optional purchase.

The sale includes assets and equipment associated with the respective bundles. A Rad Source RS 420 XL x-ray irradiation system is included with the North Las Vegas cultivation and production bundle. Assets are sold AS IS, WHERE IS.

Portfolio Details

Structure: Four independent asset bundles across three entities

Locations: Las Vegas, North Las Vegas, and Pahrump, Nevada

License bid floors: No stated minimum for three bundles; $5,000,000 court-approved minimum for the Las Vegas retail and lounge bundle

Gross revenue: $11,350,247 three-year average for FY2023–FY2025

Real estate: Four optional properties with combined stated prices of $13,150,000, separate from the license bids

Included assets: FF&E, applicable on-hand inventory at closing, trade names, SOPs, and Metrc data

Consideration: All cash; no seller financing

Good faith deposits: $250,000 to bid on licenses, covering one or more bundles, plus $100,000 for each property on which a bidder submits a real estate bid

Minimum overbid increment: $100,000

Reason for sale: Court-appointed receivership

Bundle Structure

Bundle A — Pahrump: Cultivation, production, and distribution licenses; no stated minimum license bid. Optional real estate: $1,450,000.

Bundle B — City of Las Vegas: Retail dispensary license and provisional consumption lounge license; $5,000,000 court-approved minimum license bid. Optional real estate: $1,800,000.

Bundle C — North Las Vegas: Operating retail dispensary with drive-thru; no stated minimum license bid. Optional real estate: $5,400,000.

Bundle D — North Las Vegas: Active cultivation and production operation, including a Rad Source RS 420 XL x-ray irradiation system; no stated minimum license bid. Optional real estate: $4,500,000.

Licenses

Retail Dispensary: Authorizes retail sale of cannabis and cannabis products at licensed premises, subject to state and local requirements.

Provisional Consumption Lounge: Offers a path to an on-site consumption venue, subject to final licensing, site, and build-out approvals.

Cultivation: Authorizes cultivation and related activities for transfer or sale to licensed Nevada establishments, subject to applicable approvals.

Production / Extraction: Authorizes manufacturing and processing of cannabis products and concentrates, subject to applicable approvals.

Distribution: Authorizes transport and transfer of cannabis between licensed Nevada establishments under applicable requirements.

Amended Auction Dates — Subject to Court Approval

Bid deadline: Tuesday, October 13, 2026, at 5:00 p.m. Pacific Time. To participate, bidders must register and prequalify on Cobra and submit a completed Bid Form and applicable refundable good faith deposit(s) by this deadline.

Qualified bidders notified: By Friday, October 16, 2026.

Virtual auction: Tuesday, October 20, 2026, from 8:00 a.m. to 3:00 p.m. Pacific Time, conducted by United AMS via Cobra.

Successful bidder deadline: Tuesday, November 3, 2026, at 4:00 p.m. Pacific Time, within ten business days of the auction’s close.

Receiver’s motion to approve the sale and backup bid(s): To be filed no later than Thursday, November 5, 2026.

Sale approval hearing: To be rescheduled by the Court from October 29 to a date between November 9 and November 20, 2026; exact date to be determined.

Amended Successful Bidder Terms — Subject to Court Approval

By 4:00 p.m. Pacific Time on November 3, 2026, each successful bidder must:

Provide a fully executed Asset Purchase Agreement for the applicable cannabis license(s) and related assets in the form provided in the Bidding Procedures; and

Wire sufficient funds to the Designated Account to bring the total paid, including the License Good Faith Deposit, to 15% of the successful bid.

The remaining 85% is due by wire transfer to the Designated Account within two business days of the Nevada Cannabis Compliance Board’s approval of the Transfer of Interest (TOI).

Qualified bidders may continue due diligence through the auction date, including coordinating site visits and requesting Q&A sessions with the Receiver and/or Seller. Due diligence requests can be submitted through the auction platform.

All dates and terms are subject to Court approval. Registrants will be notified of any Court-approved changes.
